Duty of Care and Internal Compliance Procedures with New Regulations

Background:
We assisted a financial firm by performing an in-depth analysis of the critical metal procurement strategy of a Greentech company under consideration for private equity investment. We also assessed the potential investee company’s compliance with its duty of care towards its suppliers.
Methodology and deliverables:
Our experts assessed the compliance of the investee company’s procurement and supply security policies of those of its subsidiaries on our client’s behalf by:

Identifying the suppliers and partners in the value chain up to Tier 4 and analyzing their stability;

Identifying and measuring the risks supply in the short and medium term. For this we assessed some 30 ESG (Environmental, Social, Governance) risks, in addition to geopolitical, economic, financial, and regulatory risks;

Challenging the company’s supply chain security action plans;

Auditing and evaluating compliance with the requirements of the EU Corporate Sustainability Due Diligence Directive (CS3D) and the Corporate Sustainability Reporting Directive (CSRD); and

Defining crisis plans in the event of supply chain disruptions, failures, or supplier risks.
Impacts:
Based on the results of our audit, our client proceeded with its investment plans.
